Proposed Bylaws Amendment

Shortly after the Board of Directors election, NAEMT members will vote separately on a proposed amendment to the Association's bylaws. Active members will receive an email with a voting link when the bylaws vote opens. NAEMT engaged legal counsel to review the bylaws for alignment with current governance standards and legal requirements, and a Board-appointed working group developed the proposed changes based on that review. The Board of Directors approved these amendments for submission to Active Members for a vote.

Amendment Includes:

  • Updates reference to NAEMT's state of incorporation from Mississippi to Massachusetts, and updates related provisions, including how officers and directors may be removed, to align with Massachusetts law
  • Clarifies that governance authority over the Association rests with the Board of Directors, consistent with standard nonprofit practice
  • Clarifies quorum and voting procedures for member and Board decisions
  • Reorganizes sections for clarity and moves detailed membership and candidate eligibility requirements into NAEMT's Policy and Procedure Manual
